Service Provider Agreement
This Service Provider Agreement (“Agreement”) is made and entered into by Prime Management Contracting LLC (“PMC”), with a principal place of business at [Company Address], (“Company”) and the undersigned individual or entity (“Provider”), collectively referred to as the “Parties.”
Recitals
WHEREAS, PMC operates the PoweredbyPMC application (“Application”), a platform designed to connect service providers with clients seeking specific services.
WHEREAS, Provider wishes to utilize the Application to offer services to clients.
NOW, THEREFORE, in consideration of the mutual promises, covenants, and conditions contained herein, the Parties agree as follows:
Engagement and Service
Provider shall offer services exclusively through the Application and agrees not to solicit directly or indirectly PMC clients outside of the Application. Any breach of this clause shall result in immediate termination and potential legal action.
SMS Notifications Consent
By using PoweredbyPMC, you consent to receive SMS notifications through the application, including updates, promotions, and other communications. Standard messaging and data rates may apply. You can opt-out at any time.
Compensation and Payment Terms
Provider shall submit all project quotes exclusively through the Application. PMC will process payments to Provider for completed projects via direct deposit, according to the Application’s standard payment terms.
Compliance with Laws and Regulations
Provider shall maintain all necessary licenses and comply with all applicable local, state, and federal laws, regulations, and codes pertinent to their services. Non-compliance will lead to termination and liability for any resultant fines or penalties.
Insurance and Indemnification
Provider must secure and maintain adequate insurance and all necessary licenses for applicable trades and areas where the projects are undertaken. Provider shall indemnify and hold harmless PMC against all liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to Provider’s services, including, but not limited to, failures to comply with any licensing, insurance, or regulatory requirements.
Permits and Approvals
Provider is responsible for obtaining all necessary permits and approvals for undertaking projects, in compliance with relevant laws and regulations.
Warranty and Quality Assurance
Provider warrants all services performed under this Agreement for a period of three days post-completion. Failure to honor this warranty may result in withholding of payments and additional legal recourse.
Collaboration and Claims
Both Parties agree to cooperate with insurance agencies to facilitate claims and repairs in the clients’ best interests.
Data and Recording
Calls between PMC and Provider may be recorded for quality assurance and used in accordance with applicable laws.
Termination
PMC reserves the right to terminate this Agreement immediately upon breach of any terms by Provider.
Modifications to Agreement
PMC may modify the terms of this Agreement at any time. Continued use of the Application post-modification constitutes acceptance of new terms.
Governing Law
This Agreement shall be governed by the laws of the State of [Jurisdiction], without regard to conflict of law principles.
Miscellaneous
This Agreement represents the entire understanding between the Parties and supersedes any prior communications.
Additional Provisions
Markup on Services
The Application may include a markup on the Provider’s services as consideration for lead generation provided by PMC.
Marketing Rights
PMC retains rights to use any Provider images or related marketing materials for external promotional purposes.
